These Terms and Conditions (the "Terms") govern your access to and use of the Card Club loyalty platform, including our mobile applications, web pages, and related services (together, the "Service").
The Service is provided by Comprafy SAS ("Comprafy", "we", "us", or "our"), the company that operates Card Club. You can learn more about us at https://comprafyapp.com.
By creating an account, enrolling in a loyalty program, adding a loyalty card to a digital wallet, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Definitions
- "Card Club": the loyalty platform operated by Comprafy SAS.
- "Merchant": a business that uses Card Club to create and operate loyalty programs. Merchants access the Service through accounts with the roles of Owner, Manager, or Collaborator.
- "Store": a business location or brand that a Merchant manages within Card Club.
- "Customer": an end consumer who enrolls in a Store's loyalty program and adds a loyalty card to a digital wallet.
- "Loyalty Card": the digital pass a Customer stores in Apple Wallet or Google Wallet to participate in a Store's program.
- "You": the person or entity accessing the Service, whether a Merchant user or a Customer.
2. The Service
Card Club lets local businesses create and run digital loyalty programs. In summary:
- Merchants use the Card Club mobile app to set up Stores, design loyalty cards, define program rules and rewards, scan Customers, and award or redeem points.
- Customers never need to install the Card Club app. They enroll through a public web page and add a Loyalty Card to Apple Wallet or Google Wallet. In store, the Customer shows a QR code, and the Merchant scans it to add or redeem points.
The Service is a tool that enables Merchants to operate their own loyalty programs. Comprafy does not own, sponsor, fund, or guarantee any loyalty program, reward, point value, or promotion. Those are defined and operated entirely by each Store.
3. Eligibility and Accounts
3.1 Merchant accounts
To use Card Club as a Merchant, you must be at least 18 years old and able to enter into a binding contract. You are responsible for providing accurate registration information and for keeping it up to date.
Authentication is handled through a trusted third-party identity provider. We never store your password; sign-in credentials are managed by that provider. You are responsible for safeguarding your login credentials and for all activity that occurs under your account.
3.2 Roles and permissions
Merchant accounts operate under one of three roles, each with different permissions:
- Owner: full control of the Store, including billing, team management, card design, analytics, campaigns, data export, and the ability to publish or archive Stores and programs.
- Manager: can manage Store details, programs, team members, and day-to-day operations, but cannot manage billing, design cards, run campaigns, or export Customer data.
- Collaborator: counter staff who can scan Customers and process point transactions only.
The Owner is responsible for assigning roles appropriately and for the conduct of all users they invite to a Store.
3.3 Customer participation
Customers do not create a password-protected account. A Customer enrolls in a specific Store's program and is identified by possession of their Loyalty Card and QR code. Providing an email address during enrollment may be optional or required, depending on how the Store configures its program.
4. Store Programs and Merchant Responsibilities
Each loyalty program, including its earning rules, rewards, point values, and expiration terms, is created, controlled, and operated by the Merchant that owns the Store. Merchants may modify or discontinue their programs at any time.
As a Merchant, you are solely responsible for:
- The accuracy, lawfulness, and honoring of your loyalty programs, rewards, and promotions.
- Complying with all laws applicable to your business, including consumer protection, advertising, gift-card, tax, and data protection laws.
- Obtaining any consents required to collect and use your Customers' information, and for the content of any communications you send to your Customers.
- The conduct of the team members you invite to your Store.
Comprafy is not a party to the relationship between a Merchant and its Customers and is not responsible for honoring any reward or resolving any dispute about a loyalty program.
5. Loyalty Cards and Digital Wallets
Loyalty Cards are delivered through Apple Wallet (Apple Inc.) and Google Wallet (Google LLC). These wallet platforms are operated independently by Apple and Google under their own terms. Comprafy is not responsible for the availability, functionality, or policies of Apple Wallet or Google Wallet.
A Customer's QR code and Loyalty Card represent proof of membership in a program. Customers should protect their Loyalty Card and QR code; anyone in possession of them may be able to present them in store. If a Loyalty Card is lost, recovery may only be possible where the Customer provided a verified email address.
We may restrict, suspend, or invalidate a Loyalty Card or membership in cases of fraud, abuse, or manipulation of points.
6. Subscriptions, Billing, and Free Trials
Certain features of the Service require a paid subscription. The following terms apply when you purchase a subscription.
6.1 Plans
Subscriptions are sold on a per-Merchant basis and may include, among others:
- A single-store plan, which allows you to operate one Store; and
- A multi-store plan, which allows you to operate multiple Stores.
Each plan may be offered on a monthly or annual billing cycle. The features, store capacity, and price applicable to your subscription are those shown to you at the time of purchase.
6.2 Auto-renewal
Subscriptions are auto-renewable. Unless you cancel, your subscription automatically renews at the end of each billing period (monthly or annual) for another period of the same length, and the applicable price will be charged using your selected payment method. You may cancel at any time; to avoid being charged for the next period, you must cancel at least 24 hours before the end of the current period.
6.3 Free trials
We may offer a free trial for a subscription. If you start a free trial, you may cancel at any time up to 24 hours before the trial ends to avoid being charged. If you do not cancel within that window, the free trial automatically converts into a paid, auto-renewing subscription at the applicable price, and your payment method will be charged. Only one free trial may be available per Merchant, unless we state otherwise.
6.4 How to manage and cancel your subscription
How you manage and cancel your subscription depends on where you purchased it:
- If you subscribed through Apple (App Store), your subscription is billed and managed by Apple. You must view, change, or cancel it through your Apple account settings, subject to Apple's terms. We cannot cancel or refund an Apple subscription on your behalf.
- If you subscribed through Google (Google Play), your subscription is billed and managed by Google. You must view, change, or cancel it through your Google Play account settings, subject to Google's terms. We cannot cancel or refund a Google subscription on your behalf.
- If you subscribed directly through Stripe (our payment processor), you can manage, update, or cancel your subscription directly with us through your account or by contacting support.
6.5 Non-payment and suspension
If a subscription payment fails or is not made when due, we may suspend your access to paid features, including the ability to publish Stores or issue new Loyalty Cards, until payment is brought current. Prolonged non-payment may result in termination of the account as described in Section 11.
6.6 Refunds
Except where required by applicable law, subscription fees are non-refundable, and we do not provide refunds or credits for partial billing periods. Where a subscription was purchased through Apple or Google, refunds (if any) are governed by, and must be requested from, the respective app store under its policies.
6.7 Taxes and price changes
Prices may be exclusive of applicable taxes, which will be added where required. We may change subscription prices from time to time; price changes will not apply to the current billing period and will take effect on your next renewal, with notice provided in advance where required by law.
7. Acceptable Use
When using the Service, you agree not to:
- Use the Service for any unlawful, fraudulent, deceptive, or harmful purpose.
- Operate a loyalty program that is illegal, misleading, or in violation of applicable law.
- Send unsolicited, unlawful, or deceptive communications to Customers, or send communications without the required consent.
- Interfere with, disrupt, overload, or attempt to gain unauthorized access to the Service or its underlying systems.
- Reverse engineer, copy, resell, or create derivative works of the Service except as permitted by law.
- Upload content that infringes the rights of others or that is unlawful, offensive, or harmful.
We may investigate and take appropriate action, including suspending or terminating accounts, for any violation of this Section.
8. Content and Intellectual Property
8.1 Our rights
The Service, including its software, design, text, and trademarks (including the Card Club name and logo), is owned by Comprafy or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.
8.2 Your content
You retain ownership of the content you upload to the Service, such as store names, logos, images, and program descriptions ("Your Content"). You grant Comprafy a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display Your Content solely for the purpose of operating and providing the Service to you (for example, to render your loyalty cards and enrollment pages). You represent that you have the rights necessary to grant this license and that Your Content does not infringe any third-party rights.
9. Data Protection
Our collection and use of personal information is described in our Privacy Policy, which forms part of these Terms.
For personal data relating to Customers, the Merchant generally acts as the data controller and determines how that data is used, while Comprafy acts as a processor / service provider that hosts the program and issues Loyalty Cards on the Merchant's behalf. Merchants are responsible for having a lawful basis to collect and process their Customers' data and for complying with applicable data protection laws.
Where Comprafy processes Customer personal data on a Merchant's behalf, it does so only to provide the Service and in accordance with the Merchant's documented instructions and these Terms. These data-processing terms, set out in a Data Processing Addendum available to Merchants on request, govern that relationship and, with respect to such processing, prevail over any conflicting provision of these Terms.
10. Third-Party Services
The Service relies on and interoperates with third-party services, including digital wallet providers (Apple Wallet, Google Wallet) and payment processors (Apple, Google, and Stripe). Your use of those services is subject to their respective terms and policies. Comprafy is not responsible for the acts, omissions, availability, or policies of any third-party service.
11. Suspension, Termination, and Data Deletion
11.1 By you
You may stop using the Service at any time. Merchants may request deletion of their account. Where you own an active Store, you may be required to archive or transfer it before your account can be deleted.
11.2 By us
We may suspend or terminate your access to the Service, with or without notice, if you breach these Terms, fail to pay applicable fees, or use the Service in a way that is unlawful or harmful to others or to the Service.
11.3 Effect of termination and deletion
Upon termination, your right to use the Service ends. If you delete your data or your account, that data is permanently deleted from our active systems and cannot be recovered, except where we are required or permitted by law to retain certain records (for example, for tax, accounting, or legal-compliance purposes), and except for residual copies that may persist in routine backups for a limited period before being overwritten. Loyalty Cards tied to a deleted account or Store will cease to function.
12. Disclaimers
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any data will never be lost. We are not responsible for the performance of third-party wallet providers, payment processors, or networks.
13. Limitation of Liability
To the maximum extent permitted by law, Comprafy and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or related to your use of (or inability to use) the Service.
To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amount you paid to Comprafy for the Service in the twelve (12) months before the event giving rise to the claim, or (b) USD 100.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
14. Indemnification
You agree to indemnify and hold harmless Comprafy and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Content, your loyalty programs and communications to Customers, or your breach of these Terms or of any applicable law.
15. Apple App Store Additional Terms
If you download the Card Club app from the Apple App Store, the following additional terms apply and prevail over any conflicting provision of these Terms with respect to the iOS app:
- Parties. These Terms are between you and Comprafy only, not with Apple. Comprafy, not Apple, is solely responsible for the app and its content.
- License scope. Your license to use the app is a non-transferable license to use it on any Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
- Maintenance and support. Apple has no obligation to furnish any maintenance or support services for the app.
- Warranty. In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any) you paid for the app; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app.
- Claims. Comprafy, not Apple, is responsible for addressing any claims relating to the app, including product-liability, legal or regulatory, and consumer-protection claims, and any claim that the app infringes a third party's intellectual property rights.
- Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
16. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
17. Governing Law and Disputes
These Terms are governed by the laws of the Republic of Argentina, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the competent courts of the City of Buenos Aires, Argentina, except where mandatory consumer-protection laws of your country of residence grant you the right to bring proceedings in your local courts.
18. Miscellaneous
- Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and Comprafy regarding the Service.
- Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
- No waiver. Our failure to enforce any provision is not a waiver of it.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including outages or failures of third-party wallet providers, payment processors, networks, or hosting infrastructure, as well as natural disasters, acts of government, and other force-majeure events.
